Ok, was able to get debian 8 (jessie) installed. I will work on trying to install proxmox 4.x this way.
I did remove my perc 6/e raid card and the powervault from the PE2950 server; so that I could isolate the issue. I still had the same kernel panic issue when trying to install...
I've installed plex on a previous version of PVE, and worked great. Should work on 4.0 as well.
Just make sure you have enough storage space for your media library :)
