try e1000 instead of rtl8139 (make sure you download the latest Intel drivers before you change the network).

How can i download the lastest intel drivers before?

Go to www.intel.com and download the drivers for Intel Gbit NIC, save them on the WinXP. Poweroff, change the network card to e1000 via the hardware tab and poweron. Install the previously drivers inside windows.

He means: from inside the Windows VM download the latest e1000 nic drivers from Intel site and save i.e. in C:\inteldriver.
Then from Proxmox web interface shoutdown the VM, change the "emulated" netword hardware (from rtl8139 to e1000) and start windows VM again.
From Proxmox-VNC screen you will have Windows telling that has found the new nic and asking for the driver... point it to C.\inteldriver and complete installation.

Sorry but i dont find the driver that i need to download, do you have the url of it?

Thanks.

Thanks, i have installed it, i will wait some hours to see if problem is solved.

Since yesterday no problems, i will update the post if there is another time the same problem.

Thanks for the link and the solution.
