Thanks. Just use Disk2vhd convert one machine,but have new problem:
Orig windows 2003 is HP OEM version, so in the KVM vm I must reactivate it

Can I use seaslic safely on ProxmoxVE's seabios ?

Never use it, don't known if it's work.
Maybe reinstalling a volume license windows 2003 on top on your existing windows should be better.(I have already do this, this just upgrade the oem to volume license).
This is the only way, as changing the serials don't work with oem.

If I remember, you need to boot windows in repair mode and use volume license cd version to repair it.

- that ONLY happens for Windows XP but "not" with Windows 2003 Server.

All you need to do is reset windows config with the sysprep tools http://technet.microsoft.com/en-us/library/cc721940(v=ws.10).aspx
