Here are my results after downgrading the kernels.
This is yesterday running with pve-kernel-2.6.24-7-pve_2.6.24-11_amd64.deb for the first 3 hours until 3:27am where you see the "linux restart line. Then running with pve-kernel-2.6.24-7-pve_2.6.24-8_amd64.deb

However I would like to clarify a couple of points. We have that issue on a production server that only runs OpenVZ and no KVM. We have not noticed any IO issue at all as we run Adaptec Raid with 512MB which at no load gives us between 500 - 600 MB/s bandwidth. Our issue...

I guess you are referring to pve-kernel-2.6.24-5-pve_2.6.24-6_amd64.deb?
Earlier you said that it improved the situation a bit. Over the course of 10 hours when you run the command
sar -P
(assuming you installed systats), do you still see load spikes?
Which version of proxmox was originally released with the kernel 2.6.24-5-pve ? Was it 1.1 or 1.2 or else?
I confirm that it still happens with pve-kernel-2.6.24-7-pve_2.6.24-8_amd64.deb
I installed pve-kernel-2.6.24-7-pve_2.6.24-11_amd64.deb and left it run for about 3 hours and still noticed load spikes....
I just installed pve-kernel-2.6.24-7-pve_2.6.24-8_amd64.deb and will let it run for a while and report back.

I will install the previous kernel pve-kernel-2.6.24-7-pve_2.6.24-11_amd64.deb and reboot the production server in about 5 hours from now and will observer the data and let you know.
I guess the answer that appears to be very difficult for you to give is the following:
1. Download the kernel using the command:
wget <kernel ftp url provided above>
2. Run the command dpkg -i <kernel file> to install it.
3. Edit the file /boot/grub/menu.lst and change the order of...

How do I install a previous kernel? Do I just install the deb file and reboot? It would be helpful if you can provide the exact commands to run so we are all on the same page. Thanks.

2. In 1.3 you did not have that issue at all?
3. Are there any risk to reboot into the 1.3 kernel from 1.4? I use the adaptec raid 5405z with 512ram. Is there a change I can run into driver issues...

In my case with only about 10 vz running, the load sometimes hits 20-30 one or more times every hour.
I hope the proxmox team can find a solution soon.
Here is my lsmod from the server where things used to work fine. That server was a Xeon 5470 at 3GHz. Note that this previous server was updated to 1.4 after everything was migrated away from it and is currently running no vps. (the new and current one is nehalem 5520).

Unfortunately this is not the case. Something is not normal. Here is the equivalent memory/swap for that timeframe:
The server has 24GB of RAM. It always had at least 5GB free. It never hit the swap.

The problem of slowness of OpenVZ vps is still current. It seems a little better with 1.4 than 1.4b but here is some latest data from the command sar -P

Alright guys I finally found the issue.
This had nothing to do with Proxmox....
a vps user changed their mail server while we were migrating the vps to the new hardware and that is why the emails were not going out...
