temporary worked around by applying the patch: http://thread.gmane.org/gmane.linux.kernel/1248253/focus=1254330 on the 3.3.x vanilla kernel.
Now the system boots and seems stable.
However this means that the kvm version included in proxmox 2.1 is buggy.

looks like 64bit Linux kernel >= 3.3.x is crashing on proxmox 2.1 with a segfault, on boot, right after the "Waiting for /dev to be fully populated...".
Tested with vanilla kernels and with default Debian configuration file for 3.2.17 (new options set as default).
By the way, 3.2.17...
