Ubuntu server 12.04.2 x64 (and Zentyal 3.0 same problem 12.04 too) sometimes booting properly, sometimes black screen or kernel panic (early exception 0d rip 10:ffffffff81680

After 3 properly reboots i have this problem, after i need stop and start VM choose boot options (counter not working) in grub for boot system. 3 reboots and same problem.
Host: Phenom II X4 945
VM: kvm64, 1 cpu 1-4 cores, 8 gb, ide 120, defaults
